1. Eligibility

2. Account Registration

• Provide accurate and complete registration information

• Promptly notify Telvana of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3. Use of the Services

3.1 Permitted Use

You may use the Services only for lawful business purposes and in accordance with these Terms, all applicable laws, and any applicable regulations governing telecommunications, telemarketing, and automated calling.

3.2 Prohibited Conduct

You agree not to:

• Use the Services for any unlawful, fraudulent, or deceptive purpose
• Violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable telemarketing or communications law
• Place calls to individuals who have not provided prior express consent where required by law
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or their underlying infrastructure
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to transmit malware, spam, or other harmful content
• Resell, sublicense, or redistribute the Services without prior written consent from Telvana

4. AI-Powered Voice Agents & Call Recording

The Services include AI-driven voice agents capable of making and receiving phone calls on your behalf. You acknowledge and agree that:

• You are solely responsible for ensuring that all calls made using the Services comply with applicable federal, state, and local laws, including consent and disclosure requirements
• Calls may be recorded and transcribed as part of the Services. You are responsible for providing any required notice or obtaining consent for call recording in accordance with applicable law
• AI-generated conversations are not guaranteed to be error-free. Telvana is not responsible for any outcomes resulting from AI-generated interactions

5. Fees and Payment

• Fees for the Services are described on our pricing page or in a separate order form or agreement
• All fees are billed in advance or on a usage basis, as applicable, and are non-refundable unless otherwise stated
• Telvana reserves the right to change pricing with at least 30 days' notice. Continued use of the Services after the pricing change constitutes acceptance of the new pricing
• Failure to pay any fees when due may result in suspension or termination of your account

6. Intellectual Property

All content, software, trademarks, logos, and other materials associated with the Services are the property of Telvana or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You retain ownership of any data or content you upload or provide through the Services. By using the Services, you grant Telvana a limited license to process and use your data solely to provide and improve the Services.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Telvana does not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, Telvana shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of revenue, data, or business opportunities.

Telvana's total liability under these Terms shall not exceed the amount you paid to Telvana in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Telvana and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.

11. Termination

Either party may terminate these Terms at any time by providing written notice. Telvana may suspend or terminate your access to the Services immediately if you breach these Terms or engage in conduct that Telvana reasonably determines is harmful to the Services or other users.

Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in San Francisco, California.

13. Changes to These Terms

Telvana reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
